1. Terms

By accessing Adaptive Biz App or Adaptive PAY (the "Software Applications"), you agree to be bound by these Terms and Conditions of Use, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using this application or accessing this site. All content on this website, including but not limited to software, code, branding, and documentation, is protected by applicable copyright and trademark laws.
 

These Terms are governed by and construed in accordance with the laws of Singapore. Any disputes arising from these Terms shall be resolved exclusively in the courts of Singapore or, where applicable and mutually agreed upon, through arbitration or mediation within Singapore.
 

2. Use of License
 

2.1 License Grant

Adaptive Cloud Systems Pte. Ltd. ("ACS") grants the license holder and their employees permission to use the Software Applications in accordance with these terms. This is a license agreement, not a transfer of title.

2.2 Limitations

The use of the Software is subject to:

1. The limitations regarding the number of users and active employees as specified in the applicable Sales Quotation or Sales Invoice.

2. Access through supported browsers using the provided URL.
    

2.3 Prohibited Actions

Under this license, you may not:

1. Modify or copy the materials (information and/or software).

2. Use the materials for any public display (commercial or non-commercial).

3. Attempt to decompile, reverse engineer, or otherwise access the source code of any software contained on Adaptive applications.

4. Remove any copyright or proprietary notations from the materials.

5. Transfer the materials to another person or "mirror" the materials on any other server.
    

2.4 Termination

This license shall automatically terminate if you violate any of these restrictions. ACS may terminate the license immediately upon notice for any breach of these Terms. Upon termination, you must destroy any downloaded materials in your possession, whether in electronic or printed format.
 

3. Warranties and Limitations
 

3.1 ACS Warranties

ACS warrants to the users that:

1. The Software provided will conform in all respects with the Software Specification.

2. The Software will be compatible only with the software explicitly listed as compatible in the Software Specification, and ACS makes no warranty or representation regarding compatibility with any other software.

3. The Software will be supplied free from defects, viruses, and malicious software, and will incorporate security features reflecting good industry practices.

3.2 User Acknowledgments

Users acknowledge that:

1. Complex software is never wholly free from defects, errors, or vulnerabilities.

2. ACS will take commercially reasonable efforts to rectify defects or any identified vulnerabilities if and when they occur.

3.3 Limitation of Liability

To the maximum extent permitted by applicable law:

1. ACS and its suppliers shall not be liable for any indirect, incidental, consequential or punitive damages, including but not limited to loss of data, profits, or business interruption, arising out of the use or inability to use the Software Applications.

3.4 Force Majeure

ACS shall not be held liable for failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, or cyberattacks.
 

4. Data Backup, Subscription & Termination

4.1 Data Ownership and Privacy

Data collected and stored in the system belongs to the customer. ACS will not use this data for any other purpose.
 

4.2 Backup Policy

ACS will perform daily automatic backups at the end of each day and retain backups for up to 30 calendar days.

4.3 Subscription Terms

1. The minimum subscription period for Adaptive PAY and Adaptive BizApp is 12 months.

2. Subscriptions will automatically renew at the end of the contract period for an additional term of 12 months or as otherwise specified, and renewal charges will be invoiced accordingly.
    

4.4 Termination

1. Users may terminate this Agreement by providing ACS with at least 60 days’ written notice.

2. ACS may terminate this Agreement by providing the User with at least 60 days’ written notice.

3. ACS may terminate this Agreement immediately if any payment due remains unpaid after the due date and notice of termination is provided.

4. Upon contract termination, customers must download their data within one month. Data will be permanently purged two months after the contract end period. Customers will receive a notification at least 15 days prior to data purging.
    

5. Terms of Use Modifications​

ACS reserves the right to revise these Terms at any time. Material changes will be communicated to users via application notifications. By continuing to use the Software Applications, you agree to be bound by the latest version of these Terms and Conditions of Use.
